Article 7: Amendments

7.1 Amendments to this By-Law shall be adopted by a two-thirds (2/3) majority vote of the General Assembly, provided that notice of the proposed amendment has been circulated at least 30 days in advance.
7.2 In cases of urgent emerging threats, the Security Committee may implement interim security measures subject to later ratification by the General Assembly.

Article 8: Enforcement

8.1 This By-Law shall come into effect immediately upon approval by the General Assembly.
8.2 Enforcement shall be carried out by the Security Committee in close coordination with law enforcement agencies.
8.3 All members shall be bound by this By-Law and its provisions without exception.

Preamble

The Digital Boda Drivers and Deliveries Association (“the Association”) is committed to maintaining professionalism, transparency, and accountability in all communication with the public, media, and stakeholders.

This Media Policy outlines the rules and guidelines for all members of the Association when engaging with the media, including traditional outlets, social media platforms, and digital communication channels.

The purpose of this policy is to:

Ensure consistency in public messaging,

Protect the reputation of the Association,

Prevent misuse of communication platforms,

Safeguard confidentiality and privacy, and

Comply with the Kenya ICT Act and all applicable laws.

No member shall misuse the Association’s communication platforms, including but not limited to Zello, WhatsApp, Facebook, X page (formerly Twitter), or any other ICT tool used by the Association for official purposes.

Article 1: Scope and Application

1.1 This policy applies to all members of the Association, including leadership, staff, riders, and delivery personnel.

1.2 The policy governs all forms of communication through:

Print, broadcast, and online media,

Social media platforms (e.g., Facebook, X, Instagram, TikTok),

Blogs, podcasts, and video channels,

Press releases and official statements,

Interviews and public speeches,

Association digital platforms (Zello, WhatsApp, etc.).

Article 2: Authorized Spokespersons

2.1 Primary Spokespersons

The Executive Chairperson,

The Association’s designated Media/Communications Officer,

Any member formally appointed in writing by the Executive Chairperson.

2.2 Delegation of Responsibility

The Executive Chairperson may delegate spokesperson duties for specific events or issues in writing.

2.3 Unauthorized Communication

No member may issue statements, represent positions, or speak on behalf of the Association without explicit authorization.

Unauthorized representation constitutes misconduct and will attract disciplinary action.

Article 3: Media Engagement Guidelines

3.1 Press Releases and Official Statements

All press releases must be approved by the Executive Chairperson or delegate.

Distribution shall be through official channels only.

3.2 Interviews

All interview requests shall be directed to the Executive Chairperson or Media Officer.

Authorized spokespersons must remain professional, factual, and aligned with the Association’s agreed key messages.

3.3 Crisis Communication

During crises (e.g., legal disputes, accidents, protests, negative press), only the designated crisis spokesperson/team shall communicate publicly.

Members must not issue statements or share content until official communication is released.

Article 4: Social Media Use

4.1 Personal Accounts

Members must avoid posting confidential information or derogatory remarks about the Association, its partners, or members.

Personal opinions must be clearly identified as personal, not official Association views.

4.2 Official Accounts

Managed only by designated officers or teams.

Posts must be professional, accurate, and consistent with Association objectives.

4.3 Prohibited Conduct

Misuse of Association platforms (Zello, WhatsApp, Facebook, X, etc.) is prohibited.

Members must not engage in:

Public disputes or political endorsements,

Defamatory or offensive remarks,

Sharing false, misleading, or harmful content.

Preamble

The Digital Boda Drivers and Deliveries Association (“the Association”) is committed to upholding the highest standards of discipline, integrity, and professionalism among its members.

This Disciplinary Code sets out the rules, procedures, and sanctions that guide member conduct. Its purpose is to:

Ensure order and accountability,

Protect the reputation of the Association,

Safeguard the safety and well-being of members, clients, and the public, and

Promote ethical and lawful practices in line with national laws and community values.

Article 1: General Conduct

1.1 All members shall conduct themselves professionally, ethically, and in a manner that reflects positively on the Association and the broader community.

1.2 Members must adhere to all legal requirements, including traffic laws, and treat clients, fellow members, and the public with dignity and courtesy at all times.

1.3 Members are strictly prohibited from engaging in illegal or unethical activities, including but not limited to:

Theft, assault, bribery, fraud, or harassment,

Mob injustice, gang activities, or incitement,

Substance abuse while on duty, or

Any misconduct that undermines public trust in the Association.

Article 2: Disciplinary Offenses

2.1 Minor Offenses include but are not limited to:

Failure to wear Association-issued identification (uniform, reflective jacket, badge),

Minor traffic infractions (e.g., failure to wear a helmet, slight speeding),

Absence from mandatory meetings without valid reason or prior notice,

Non-compliance with safety protocols.

2.2 Major Offenses include:

Repeated minor offenses,

Misconduct towards clients, members, or the public (verbal abuse, dishonesty, threats),

Reckless driving or endangering lives,

Actions that damage the Association’s reputation, including misuse of media,

Operating without required legal documents.

2.3 Severe Offenses include:

Criminal activities (theft, assault, bribery, fraud, corruption),

Collaboration with corrupt parties to evade laws or regulations,

Physical assault, sexual harassment, or violence of any kind,

Substance abuse or intoxication while on duty,

Persistent refusal to comply with Association rules or disciplinary measures.

Article 3: Disciplinary Procedures

3.1 Reporting Offenses

Offenses may be reported by members, clients, or the public.

Reports must be submitted in writing, supported by evidence (photos, witness accounts, etc.).

3.2 Disciplinary Committee

A Disciplinary Committee shall investigate offenses, deliberate fairly, and recommend sanctions.

The Committee shall consist of at least five members, including representatives from leadership, legal, and security teams.

3.3 Investigation

Investigations shall be impartial, with accused members given a chance to respond and present evidence.

3.4 Decision

The Committee’s decision shall be communicated in writing, stating the offense, findings, and penalties imposed.

Article 4: Disciplinary Actions

4.1 Penalties for Minor Offenses

Written or verbal warning,

Mandatory training,

Fines as per Association guidelines,

Suspension (not exceeding one week).

4.2 Penalties for Major Offenses

Escalating warnings,

Suspension (1 week to 3 months),

Higher fines or restitution,

Mandatory counseling or rehabilitation (for substance-related misconduct).

4.3 Penalties for Severe Offenses

Immediate expulsion from the Association,

Referral to law enforcement for prosecution,

Restitution or compensation to affected parties.

4.4 Appeals

Members may appeal within 14 days of receiving a decision, stating grounds and evidence.

Appeals shall be reviewed within 30 days, and the Committee’s decision shall be final.

Article 5: Rights of Members

5.1 Right to Fair Hearing – All members are entitled to a fair and impartial hearing.

5.2 Right to Representation – Members may be represented by another member or legal counsel during proceedings.

5.3 Right to Appeal – Members may appeal disciplinary decisions in accordance with Article 4.4.

Article 6: Record Keeping

6.1 Disciplinary Records – The Association shall maintain confidential records of all cases, including reports, investigations, and outcomes.

6.2 Expungement of Records – Members may request removal of minor offense records after 12 months of good conduct.

Article 7: Brand and Property Protection

7.1 Members are strictly prohibited from misusing the Association’s brand, name, or identity for personal gain or unauthorized activities.

7.2 Upon resignation, expulsion, or termination of membership, all Association-issued property (e.g., uniforms, badges, branding materials) must be returned or destroyed under supervision.

7.3 Unauthorized use of the Association’s brand or impersonation after membership ends will result in legal action.

Article 8: Amendments

8.1 This Code may be amended by a two-thirds (2/3) majority vote of the Association’s leadership at a General Meeting.
